Corporate lawyer

We are seeking candidates for a position of Corporate lawyer for our client, a well-established Ukrainian Private Equity Fund.

Responsibilities

• Providing legal opinions on corporate and other legal matters

• M&A advisory and transactional work (due diligence, structuring, negotiating and drafting transactional documents;)

• Advising on various corporate and corporate structuring (with a focus on such jurisdictions as Delaware, Cyprus, and the UK) and commercial matters (commercial and M&A contracts governed by English, US, Cyprus, and Ukrainian law), including experience in working on M&A and venture capital transactions) 

• Drafting and reviewing corporate documents (board and shareholders’ resolutions, Articles of Association, PoAs, etc.)

• Reviewing and drafting finance and commercial agreements, including SPAs, SHAs, option agreements, loan agreements, pledge agreements, and security agreements, governed by English, US, and Cyprus law,

• Overseeing and enforcing compliance with corporate legislation and requirements in various jurisdictions (such as Cyprus, UK, USA),

Qualification requirements:

• Degree in law from a reputable Ukrainian university (Foreign LL.M. will be an advantage)

• 3+ years of relevant professional experience in corporate, commercial, and contract law with an family office or international company or at one of the Top-10 Ukrainian law firms

• Excellent command of English (including legal English) and Ukrainian is a MUST 

• Excellent knowledge of corporate law, civil and commercial law; previous experience in Corporate/M&A

• Participation in negotiations
