Senior Associate in Corporate Law and M&A

ROLE OVERVIEW:

We are looking for a dynamic and seasoned legal professional to join our team as a Senior Associate with a focus on Corporate Law and Mergers & Acquisitions. This role involves leading complex corporate transactions, overseeing restructuring processes, and advising on antitrust matters.

QUALIFICATIONS & EXPERIENCE:

• Master’s degree in Law or equivalent legal education;
• Minimum of 5 years of legal practice in a law firm or corporate legal department;
• At least 5 years of hands-on experience in Corporate Law, particularly with entities registered in Cyprus;
• Proven track record of 5+ years in M&A transactions and English Contract Law;
• A minimum of 3 years of experience in Ukrainian Competition Law;
• Strong command of Legal English (B2-C1 level or higher);
• Proficiency in drafting and negotiating legal agreements with a solid grasp of legal and commercial implications.

KEY RESPONSIBILITIES:

• Providing legal support for companies incorporated in Cyprus and other jurisdictions;
• Preparing and reviewing corporate documentation such as resolutions, powers of attorney, applications, correspondence, and contracts;
• Leading corporate deals including mergers, acquisitions, joint ventures, and reorganizations;
• Drafting, reviewing, and negotiating key transaction documents (e.g., term sheets, SPAs, SHAs, NDAs, NCAs, disclosure letters, COAs);
• Assisting with filings for merger clearance with the Antimonopoly Committee of Ukraine;
• Advising on cross-border tax matters and addressing related legal issues;
• Conducting legal due diligence, identifying risks and opportunities, and preparing comprehensive reports;
• Coordinating with internal stakeholders and external counsel to ensure seamless transaction execution;
• Offering strategic legal advice on risk mitigation and operational matters;
• Conducting legal research across multiple jurisdictions;
• Keeping abreast of legal developments, regulatory changes, and market trends.
